Operating cash flow was negative in both FY2025 and FY2026, Rs.3,186.22 Lakhs and Rs.1,970.37 Lakhs used respectively, a sharp reversal from Rs.11,019.42 Lakhs generated in FY2024. Debt to Equity, while still very low in absolute terms, rose from 0.02x in FY2024 to 0.10x in FY2026 as the company began borrowing to fund the growing MTF book. NAV per share has risen every year, from Rs.95.56 to Rs.114.07, even as profit fell in FY2026.

How Does It Compare to Peers?

The RHP names three listed peers: SMC Global Securities, Share India Securities and Arihant Capital Markets, based on closing prices on NSE as of August 31, 2026. Shah Investor's Home's own P/E cannot be shown until the Price Band is set.

Shah Investor's Home's RoNW of 7.35% is broadly in line with SMC Global Securities' 7.82% and Arihant Capital Markets' 7.13%, and well below Share India Securities' 12.28%. NAV per share at Rs.114.07 sits close to Share India Securities' Rs.120.41, well above SMC Global and Arihant.

All three peers, unlike Shah Investor's Home in FY2026, would need their own FY2026 revenue trend checked before drawing conclusions from the RHP's single year snapshot alone; the RHP itself does not disclose whether these peers also saw a revenue decline in FY2026.

Key Risks

• Revenue from Operations fell 24.18% in FY2026 to Rs.7,147.67 Lakhs and PAT fell 43.54% to Rs.1,320.22 Lakhs, the only year of decline in the three years shown, reversing a stronger FY2025.

• SEBI issued a letter dated January 23, 2025 following an inspection of client fund handling, finding that on 18 of 30 sample dates reviewed, client funds were retained rather than upstreamed to clearing corporations as required, alongside transfers between settlement and client nodal bank accounts not in compliance with SEBI circulars; a further NSE inspection in January 2025 found incorrect client holding data, payouts in excess of client balances, incorrectly opened minor accounts in derivatives, and untimely bank account closure reporting, for which the company paid a monetary penalty of Rs.37,500, and a July 2026 inspection found incorrect margin trading file reporting, penalised at Rs.1,000.

• The company's Margin Trading Facility book exceeded its permissible regulatory limit, reaching 103.24% of 50% of Eligible Net Worth as of March 31, 2026; the company states corrective measures were subsequently taken, but the breach itself occurred.

• Operating cash flow was negative in both FY2025 and FY2026, Rs.3,186.22 Lakhs and Rs.1,970.37 Lakhs used respectively, a sharp reversal from Rs.11,019.42 Lakhs generated in FY2024.

• 93.74% of FY2026 broking income comes from Gujarat alone, and 64.78% of total revenue comes from the broking segment, both concentrated exposures to a single product line and a single state.

• Average broking revenue per active client fell from Rs.17,165.95 in FY2025 to Rs.12,124.43 in FY2026, even as total client count grew, indicating declining monetisation per client alongside intensifying fee competition the RHP itself describes.

• Active client growth slowed sharply, to just 0.99% in FY2026 from 6.41% in FY2025 and 13.27% in FY2024, even as total client count kept rising.

• The MTF book grew 158.53% between March 2026 and August 2026, an aggressive expansion pace that this Issue's proceeds are specifically intended to fund further.

• Debt to Equity, while still low in absolute terms, rose from 0.02x in FY2024 to 0.10x in FY2026 as MTF funding needs grew.

• Industry data in this RHP comes from a Broking Industry in India report commissioned and paid for by the company itself from CARE Analytics and Advisory Private Limited.

• The company's own risk disclosure states it faces constant competitive pressure on brokerage yields with no exclusivity arrangements with clients, who may and do use multiple brokerage houses simultaneously.

Positives to Note

• The company has over 30 years of operating history and 85,422 total clients as of March 31, 2026, with 27,728 of its active clients, the large majority, having a relationship tenor of more than five years.

• NAV per share rose every year shown, from Rs.95.56 in FY2024 to Rs.114.07 in FY2026, even through the FY2026 profit decline.

• MTF default rate was 0.00% in both FY2025 and FY2026, and the MTF Collateral Coverage Ratio stood at 153.75% in FY2026, indicating the existing book, despite exceeding its regulatory ceiling briefly, has not generated credit losses.

• The company has significant unused capacity in its MTF business: Eligible Net Worth of Rs.4,060.94 Lakhs as of March 31, 2026 provides headroom that the RHP itself says has been constrained mainly by available deployable funds, which this Issue is designed to address.

• The company holds sanctioned working capital facilities of Rs.24,050.13 Lakhs as of July 31, 2026, providing an established funding base beyond the IPO proceeds.

• There have been no arbitration orders against the company in the past three financial years, despite the disclosed SEBI and NSE inspection findings.
