Tonbo Imaging India IPO (15-19 Oct) Analysis

8 min read

Tonbo Imaging India Limited is a global defence electronics original equipment manufacturer (OEM). The company designs, develops and manufactures sensing, processing, communication and guidance systems used for surveillance, reconnaissance, targeting and control, including thermal imaging cores, weapon sights, hand held thermal imaging binoculars, targeting systems, missile seekers, fire control systems and missile guidance systems.

As per an industry report cited in the RHP, the company is the largest manufacturer in India of thermal imaging systems supplied to government and defence agencies by sales value, and accounts for 94% of India's thermal imaging exports by units.

As of June 30, 2026, the company had over 28,000 systems deployed across 24 countries, with customers including global militaries, system integrators supplying global militaries, NATO country procurements, law enforcement and homeland security agencies, and other global defence OEMs.

A key part of the company's competitive positioning is that it owns 100% of the intellectual property behind its products since Fiscal 2024, allowing it to build and supply ITAR free (International Traffic in Arms Regulations free) defence electronics systems.

This positions the company to sell to customers in geographies subject to export control regimes or geopolitical restrictions that would otherwise limit access to US origin defence technology.

The company's products are also IDDM (Indigenously Designed, Developed and Manufactured) compliant under India's Defence Acquisition Procedure, 2020 and the Make in India policy framework. The company was incorporated in 2003 and pivoted to defence products in 2012.

The Price Band had not been determined as of the date of the RHP, so the markup over these cost bases cannot yet be assessed.

How Will the IPO Money Be Used?

As this Offer consists entirely of an Offer for Sale, the company will not receive any proceeds from the Offer. The entire Offer proceeds, net of Offer related expenses and relevant taxes, will be received by the respective Selling Shareholders in proportion to the Equity Shares sold by each of them.

The company's stated rationale for participating in the listing process is to achieve the benefits of listing the Equity Shares on the stock exchanges, including enhanced visibility and brand image, and to provide liquidity and a public market for the Equity Shares.

Since the company itself receives no funds from this Offer, there is no object wise utilisation table for business purposes, and no monitoring agency has been appointed, as none of the proceeds are payable to the company.

For the three months ended June 30, 2026, the company reported revenue of Rs.3,600.8 Lakhs and a net loss of Rs.1,773.7 Lakhs, with a diluted loss per share of Rs.(3.20). The RHP attributes the Fiscal 2026 revenue decline and the Fiscal 2027 stub period loss primarily to delays in the execution of certain international orders arising from the West Asia conflict, as well as the deferment of certain anticipated orders from Fiscal 2026 to Fiscal 2027.

An order of Rs.5,144.1 Lakhs received in Fiscal 2026 could not be executed that year due to these delays and now forms part of the order book as of June 30, 2026, expected to be executed in Fiscal 2027.

The company's revenue is also described in the RHP as cyclical and dependent on episodic, geopolitically driven procurement, with a bid to win ratio of 34.35% in Fiscal 2026 compared to 35.94% in Fiscal 2025 and 40.91% in Fiscal 2024.

The company carries low borrowings relative to its Rs.55,315.9 Lakhs net worth as of March 31, 2026, and has no long term debt outstanding in Fiscal 2026 or Fiscal 2025.

However, operating cash flow turned negative in both Fiscal 2025 and Fiscal 2026, driven mainly by a build up in inventories and trade receivables, and the company's cash and bank balances fell sharply from Rs.10,097.2 Lakhs at the end of Fiscal 2025 to Rs.1,617.9 Lakhs at the end of Fiscal 2026.

As at June 30, 2026, inventories had risen further to Rs.31,963.3 Lakhs from Rs.21,948.5 Lakhs at the start of the quarter, while cash and bank balances fell further to Rs.714.0 Lakhs.

How Does It Compare to Peers?

The RHP identifies five Indian listed peers in the defence electronics space: Paras Defence and Space Technologies Limited, Data Patterns (India) Limited, Astra Microwave Products Limited, Zen Technologies Limited and Bharat Electronics Limited.

The comparison below uses Fiscal 2026 figures as disclosed in the RHP, with peer figures left in their originally disclosed units of Rs. Millions and Rupees per share to match the RHP's own comparison table.

On revenue, the company is smaller than all five listed peers, with Bharat Electronics Limited operating at a vastly larger scale as India's largest defence public sector undertaking.

The listed peer group's P/E ratios as of October 7, 2026 ranged from a high of 117.74 for Paras Defence and Space Technologies Limited to a low of 45.70 for Bharat Electronics Limited, with an average of 81.62. Since the Price Band for this Offer has not yet been determined, the company's own P/E ratio and its positioning relative to this peer range cannot be assessed at this stage.

On profitability, the company's Fiscal 2026 RoNW of 9.75% is below the levels it reported in Fiscal 2025 (20.20%) and Fiscal 2024 (52.72%), and below Data Patterns (India) Limited's disclosed RoNW of 17.00%; RoNW was not disclosed for the other four peers.

Key Risks

●  Revenue is cyclical and geopolitically driven, with poor visibility. The company's revenue depends on episodic, tender based government and defence procurement cycles that can surge during periods of geopolitical tension and slow sharply once such tensions ease. Revenue from operations declined 22.69% in Fiscal 2026 to Rs.36,264.8 Lakhs from Rs.46,908.0 Lakhs in Fiscal 2025, which the company attributes to delays in executing certain international orders linked to the West Asia conflict and the deferment of other orders into Fiscal 2027.

●  The company reported a net loss in the three months ended June 30, 2026. The Fiscal 2027 stub period loss of Rs.1,773.7 Lakhs reflects low revenue recognition combined with employee and depreciation costs that are spread more evenly across the year, highlighting the company's exposure to lumpy, non recurring order execution.

●  Operating cash flow has been negative for two consecutive years and cash balances have fallen sharply. Net cash used in operating activities was Rs.13,611.9 Lakhs in Fiscal 2025 and Rs.6,321.6 Lakhs in Fiscal 2026, driven by rising inventories and trade receivables, and cash and bank balances fell from Rs.10,097.2 Lakhs at the end of Fiscal 2025 to Rs.1,617.9 Lakhs at the end of Fiscal 2026 and further to Rs.714.0 Lakhs by June 30, 2026.

●  This is a pure Offer for Sale and the company receives no proceeds. All Offer proceeds go to the Selling Shareholders, so the Offer does not directly fund the company's working capital needs, capacity expansion or any other business objective, even as the business shows signs of cash strain.

●  Customer concentration among a shifting set of large, non recurring orders. The company does not rely on annuity revenues, and its contracts are typically short term and tender based. A small number of large customers have historically contributed a significant share of revenue in any given year, but the identity of the largest customer has changed from year to year, making forward revenue difficult to predict from historical customer relationships.

●  The Price Band, minimum lot size and Bid or Offer dates for the retail portion of the Offer had not been finalised as of the date of the RHP, leaving several commercial terms of the Offer undetermined.

●  The company operates in the defence sector, where contracts depend on government budget cycles, multi layered regulatory approvals and tender outcomes that are subject to delay, reprioritisation or cancellation.

●  The company has an outstanding contingent liability in the form of a bank guarantee of Rs.7,893.4 Lakhs, along with pending disputes relating to Goods and Services Tax matters, and received a customs related notice after the June 30, 2026 balance sheet date, the outcome of which cannot presently be determined.

●  The company's bid to win ratio has declined over the three years under review, from 40.91% in Fiscal 2024 to 35.94% in Fiscal 2025 to 34.35% in Fiscal 2026, which may reflect increasing competitive intensity in its tender markets.

●  A portion of the company's business depends on export markets subject to export control regimes and geopolitical risk, and while its ITAR free positioning is a competitive advantage, the company's international order execution has itself been disrupted by an active regional conflict, as seen in Fiscal 2026.

Positives to Note

● Market leading position in a strategically important segment. The company is India's largest manufacturer of thermal imaging systems for government and defence agencies by sales value and accounts for 94% of India's thermal imaging exports by units, as per the cited industry report.

● Broad, deployed customer base. Over 28,000 systems have been deployed across 24 countries as of June 30, 2026, spanning global militaries, system integrators, NATO country procurements, and law enforcement and homeland security agencies.

● Full ownership of intellectual property and ITAR free positioning. The company has owned 100% of its product intellectual property since Fiscal 2024, allowing it to supply ITAR free defence electronics to customers in geographies that would otherwise face export control restrictions on US origin defence technology.

● IDDM compliance under India's defence procurement framework. The company's products are compliant with the Indigenously Designed, Developed and Manufactured criteria under the Defence Acquisition Procedure, 2020, positioning it to benefit from India's Make in India defence procurement preferences.

● Healthy underlying profitability and low leverage. Despite the Fiscal 2026 revenue decline, EBITDA margin actually improved slightly to 30.87% from 30.78% in Fiscal 2025, and the company carries no long term borrowings and modest short term borrowings relative to its Rs.55,315.9 Lakhs net worth.

● Demand tailwinds from heightened geopolitical tensions. The RHP notes that recent border conflicts and regional tensions have led to accelerated, fast tracked defence procurement globally, a trend from which the company has historically benefited, even though such demand spikes are episodic rather than guaranteed to recur.
