R.K. Fashion Accessories Limited was originally incorporated as Satabadi Distributor Private Limited on March 23, 2010, renamed R.K. Fashion Accessories Private Limited in January 2011, and converted to a public company in February 2026. The registered and corporate office is Room No. A201, 2nd Floor, Bagree Market, 71, B.R.B. Basu Road, Kolkata 700001, West Bengal.

The company trades under the brand City Girl Jewellery, with website www.citygirljewellery.co.in. The promoters are Md. Qasim, Mohammed Usman, Mohammed Imran and Md. Aurangzeb. Ravi Kumar Bahl is Company Secretary and Compliance Officer.

The company manufactures, through third party contract manufacturers, and wholesale distributes imitation jewellery, gold plated using copper as the base metal with gold used only in plating and finishing, alongside trading of branded cosmetics.

Revenue is predominantly business to business, 90.66% in the stub period ended June 30, 2026, sold through wholesale channels and a Shop in Shop (SIS) model within retail partner stores, with a smaller business to consumer presence that the company is now expanding through a new showroom on Rash Behari Avenue, Kolkata.

Within the jewellery business, contract manufacturing has grown from 57.47% of that segment's revenue in FY2024 to 72.65% in FY2026, with trading declining proportionately. The financial year ends March 31.

What distinguishes this issue is both the extremely low promoter cost of acquisition, Rs.0.37 and Rs.0.65 per share against a likely Offer Price many multiples higher, and the compressed timeline between the RHP and the Offer itself, closing within about a week of filing. This is a Fresh Issue only, with no promoter or investor exit.

The five quantified objects total Rs.2,746.81 Lakhs. Three of the five, the new plating facility, the B2B showroom and the B2C store, represent capacity and retail expansion beyond the company's existing single location operations, a meaningfully larger physical footprint than the business has operated to date. None of the objects has been appraised by a bank or financial institution.

Financial Performance: The Numbers You Need

The company's share capital jumped from Rs.65.95 Lakhs to Rs.1,124.96 Lakhs between FY2025 and FY2026, following a capital restructuring that sharply reduced NAV per share on the same underlying net worth; the figures below should be read with this in mind.

Revenue grew 70.81% in FY2026 to Rs.3,035.71 Lakhs, and PAT grew 214.79% to Rs.628.69 Lakhs. Operating EBITDA margin expanded sharply, from a near breakeven 0.86% in FY2024 to 24.16% in FY2026, alongside PAT margin nearly tripling from 7.13% to 20.71%.

For the stub period ended June 30, 2026, revenue was Rs.749.28 Lakhs with a 34.08% Operating EBITDA margin and 24.40% PAT margin, both higher than the full FY2026 figures; investors should treat a single quarter's elevated margins with caution rather than annualising it as a new steady state.

Working capital intensity has risen sharply and continued rising even after the FY2026 year end: working capital as a percentage of revenue moved from negative 5.80% in FY2024 to 24.65% in FY2026, then jumped further to 130.10% for the stub period ended June 30, 2026, which the company itself attributes partly to deliberately building finished goods inventory as a hedge against copper and gold price volatility.

Inventory holding period rose from 38 days in FY2024 to 117 days in FY2026 to 205 days in the June 2026 stub period. Trade receivables grew from Rs.48.50 Lakhs in FY2024 to Rs.568.43 Lakhs by the June 2026 stub period. NAV per share fell from Rs.148.82 in FY2025 to Rs.14.37 in FY2026 purely due to the share capital expansion, not a decline in underlying net worth, which in fact rose over the same period.

How Does It Compare to Peers?

The RHP names a single listed peer, Banaras Beads Limited, based on closing price as of September 28, 2026, and itself notes the peer is not strictly comparable given the nature and turnover of the business. R.K. Fashion Accessories' own figures in this comparison are based on the stub period ended June 30, 2026, annualised, while the peer's figures are for full Fiscal 2026, so this is not a like for like comparison.

R.K. Fashion Accessories' RoNW of 40.66% is far higher than Banaras Beads' 3.08%, but this comparison mixes a single quarter annualised for R.K. Fashion Accessories against a full year for the peer, and the RHP itself cautions that the two businesses are not strictly comparable in nature or turnover. Investors should treat this comparison as indicative at best.

Key Risks to Know Before Applying

• Working capital intensity has risen sharply and kept rising after the FY2026 year end, from negative 5.80% of revenue in FY2024 to 24.65% in FY2026 to 130.10% in the stub period ended June 30, 2026; inventory holding period reached 205 days in that same stub period, more than five times the FY2024 level of 38 days.

• Promoters acquired their shares at Rs.0.37 and Rs.0.65 per share, and two promoters at nil cost, a gap from any plausible Offer Price that investors should weigh carefully, since it reflects how little the promoters themselves have invested relative to what new investors will pay.

• The peer comparison in this RHP annualises a single quarter's results for R.K. Fashion Accessories against a full fiscal year for the sole named peer, Banaras Beads Limited, and the stub period's own margins, 34.08% EBITDA and 24.40% PAT, are higher than the full FY2026 figures, so investors should not assume this pace is sustainable.

• The business depends on copper and gold as key raw materials, both of which the company itself describes as having witnessed significant price escalations and high volatility in recent years, and its response, stocking finished goods inventory ahead of need, is itself the direct driver of the working capital and inventory day increases above.

• The company operates a Shop in Shop (SIS) model for a portion of revenue, 16.58% in the June 2026 stub period, where it has limited direct control over customer experience, inventory management and store operations, and is placed directly alongside competitors in shared retail space.

• Related party transactions were 21.43% of revenue in the stub period ended June 30, 2026, though lower in the full fiscal years shown, 10.79% in FY2026, 6.10% in FY2025 and 66.40% in FY2024.

• Five tax proceedings totalling Rs.34.20 Lakhs are pending against the company, and one further proceeding totalling Rs.0.03 Lakhs is pending against Key Managerial Personnel.

• Three of the five quantified Net Proceeds objects, the new plating facility, B2B showroom and B2C store, represent a meaningfully larger physical footprint than the company has operated to date, adding execution risk to the existing business.

• The company faces a highly competitive and fragmented jewellery market with low barriers to entry for smaller or unorganised players, which the company's own risk disclosure says can pressure pricing and margins.

• None of the five quantified Net Proceeds objects has been appraised by a bank or financial institution.

• The company only converted from a private to a public company in February 2026, just months before this RHP, giving investors a limited track record of it operating under public company governance standards.

Positives to Note

• Revenue grew from Rs.1,328.49 Lakhs in FY2024 to Rs.3,035.71 Lakhs in FY2026, and PAT grew from Rs.94.78 Lakhs to Rs.628.69 Lakhs over the same period.

• Operating EBITDA margin expanded from a near breakeven 0.86% in FY2024 to 24.16% in FY2026, and PAT margin nearly tripled from 7.13% to 20.71% over the same period.

• Total Borrowings remain modest in absolute terms, Rs.170.32 Lakhs as of March 31, 2026, against a Net Worth of Rs.1,616.21 Lakhs.

• The company has shifted its business mix toward higher value contract manufacturing and away from pure trading within its jewellery segment, from 57.47% to 72.65% of that segment's revenue between FY2024 and FY2026.

• The cosmetics trading line, sold alongside jewellery, gives retail partners a complementary, higher footfall product category that the company says helps draw customers who then also purchase jewellery.

• The company is actively diversifying its channel mix by investing in a dedicated business to consumer retail presence in Kolkata, reducing reliance on the business to business wholesale and SIS channels that currently dominate revenue.
