Key Risks
● Pure Offer for Sale with no proceeds to the company. The company will not receive any proceeds from this Offer. The entire Offer proceeds will go to the Corporate Promoter Selling Shareholder, Bonfiglioli S.p.A, and the Offer does not fund any business expansion, debt repayment or working capital requirement of the company.
● Promoter shareholding acquired at a cost far below the likely Offer Price. The disclosed weighted average cost of acquisition for the Promoter Selling Shareholder is Rs.6.77 per Equity Share. Investors subscribing at the eventual Offer Price will be paying a materially higher price than this cost basis.
● Statutory Auditor modifications in prior audit reports. The Statutory Auditor's reports for Calendar Years 2025, 2024 and 2023 included modifications noting that daily back up of books of account maintained in electronic mode was not kept on servers physically located in India, and that the audit trail or edit log feature was not enabled for certain transactions in the accounting software used for Calendar Years 2025 and 2024, meaning the auditor was unable to comment on whether the audit trail had been tampered with. The Calendar Year 2025 and 2024 reports under the Companies Auditor's Report Order also noted delays in payment of certain statutory dues.
● Dependence on a single corporate affiliate, BSPA, for certain operational aspects, and continuing related party transactions with this entity, as separately disclosed in the RHP's risk factors.
● Concentrated exposure to wind industry and automation drive products. Yaw and pitch drives sold to the Wind Industry vertical and low to medium duty gear motors sold to the Industry and Automation vertical together contributed roughly 65% to 68% of revenue from operations across the three Calendar Years presented, exposing the company to demand cycles in renewable energy capacity additions and industrial automation adoption.
● Customer concentration, with the top 10 OEM customers contributing 36.60% of revenue from operations in CY2025, though this has declined somewhat from 34.38% in CY2024 and remains without long term binding agreements with all customers.
● Certain corporate records and forms filed with the Registrar of Companies are not traceable, as disclosed in the RHP's risk factors, a common but noteworthy administrative gap for a company of this vintage.
● The company has not been able to obtain certain records of educational qualifications for one of its individual Directors, as separately disclosed.
● The company depends on a limited number of suppliers for raw materials and components, and any increase in input prices or supply disruption could affect margins and production continuity.
● There have been delays in payment of certain statutory dues, including tax deducted at source, tax collected at source and professional tax, as flagged in the Statutory Auditor's CARO reports for Calendar Years 2025, 2024 and 2023.
Positives to Note
● Leading market positions across all three business verticals, with a 25.0% market share in Industry and Automation Solutions, 32.0% in Off Highway Mobility, and a leading 67.9% share in the Wind Industry, as per the industry report cited in the RHP.
● Consistently improving profitability and capital efficiency, with EBITDA margin expanding from 15.32% in CY2023 to 18.92% in CY2025, and Return on Net Worth rising from 18.30% to 23.96% over the same period, the strongest among the disclosed listed peer set.
● Debt free balance sheet as at the end of CY2025 and CY2024, reflecting a conservative and low risk capital structure relative to several listed peers.
● Deep, long standing customer relationships, with seven of the top 10 Industry and Automation OEM customers and eight of the top 10 Off Highway Mobility OEM customers having been engaged with the company for more than 10 years, alongside the backing of a globally established parent, Bonfiglioli S.p.A, with nearly 70 years of worldwide operating history.
A Note on Figures
