Updated: Oct 4
HR Staffing, Vendor Management, Compliance Advisory and RegTech | SME IPO | NSE Emerge
Based on the Red Herring Prospectus (RHP) filed by Coreintegra Consulting Services Limited, September 2026
STATUS: OPEN FOR SUBSCRIPTION | NSE Emerge SME Platform | IPO Dates: September 23 to September 25, 2026
Coreintegra Consulting Services Limited is a comprehensive HR solutions provider offering end-to-end human resource services. The Company is headquartered in Chembur, Mumbai, Maharashtra, and was incorporated in April 2009. It is listed on the NSE Emerge SME platform.
The Company's primary business is deploying on-site employees (called Deputees) at client locations, managing vendor ecosystems through its Local Infrastructure Service Provider (LISP) Management framework, and providing statutory compliance advisory services to large enterprises.
The Company operates across five service segments. HR Services (Staffing and Deputees) is the largest segment, contributing 63.22% of FY2026 revenues at Rs. 32,567.30 Lakhs. Vendor Management Services (LISP Management) contributed 32.11% (Rs. 16,540.25 Lakhs). Compliance and Advisory contributed 3.71% (Rs. 1,909.88 Lakhs).
The RegTech segment, anchored by the Ctrl F compliance platform, contributed 0.71% (Rs. 364.53 Lakhs), and HR Tech Solutions contributed 0.13% (Rs. 65.83 Lakhs). In FY2026, the Company employed a total of 12,027 persons including Deputees deployed at client sites. Revenue comes primarily from IT and ITES clients (55.31% of revenue) and infrastructure sector clients (35.59%).
The Company has developed a suite of proprietary technology platforms that differentiate it from pure-play staffing agencies. CoreX is a Human Resource Management System (HRMS). Core Pay is a payroll processing platform.
Ctrl F is a cloud-based statutory labour law compliance management platform offering real-time dashboards for monitoring compliance obligations across Indian states. Core PFT is a provident fund and tax management tool.
The flagship Ctrl F platform is currently being upgraded to version 3.0 on Amazon Web Services (AWS) infrastructure, and IPO proceeds are partly earmarked for this upgrade.
The promoters of the Company are Sriram Natarajan (holding 49.13% pre-issue), Sangeeta Sriram (2.87%), and Gaurav Bali (12.51%). Eureka Outsourcing Solutions Pvt Ltd, a promoter group entity, holds 28.52%. The aggregate promoter and promoter group pre-issue holding is 93.04%. The Company serves marquee clients in the IT, ITES, and infrastructure sectors and has reported a client retention rate of 90.46% in FY2026.
IPO BASICS
Document Type | The offer is based on a Red Herring Prospectus (RHP) filed by the Company. This is a SME IPO listed on the NSE Emerge platform. SME IPOs on NSE Emerge are not eligible for anchor investor allocation; they follow the fixed-price or book-building process for SME issues. |
Issue Structure | This is a pure Fresh Issue with no Offer for Sale component. Up to 28,19,200 equity shares are being issued, with all proceeds flowing to the Company for its stated deployment objectives. There is no promoter monetisation in this IPO. |
Issue Size (Shares) | Up to 28,19,200 equity shares at face value Rs. 10 each. Pre-issue share capital is 76,67,805 equity shares. Post-issue share capital will be up to 1,04,87,005 equity shares. |
Face Value | Rs. 10 per equity share. Pre-issue NAV per share as of March 31, 2026 is Rs. 35.74. |
Promoters and Holding | Promoters are Sriram Natarajan (49.13%), Sangeeta Sriram (2.87%), and Gaurav Bali (12.51%). Eureka Outsourcing Solutions Pvt Ltd (promoter group) holds 28.52%. Total promoter and promoter group pre-issue holding is 93.04%, which is among the highest promoter concentration levels seen in recent SME IPOs. |
Listing Exchange | NSE Emerge (SME Platform). This is not a mainboard listing; it is an SME exchange listing with different regulatory thresholds and liquidity characteristics than a mainboard IPO on NSE or BSE. |
Market Maker | Rikhav Securities Limited. As an NSE Emerge SME IPO, a market maker is mandatory to provide two-way quotes and maintain minimum liquidity in the secondary market post-listing. |
BRLM | Marwadi Chandarana Intermediaries Brokers Private Limited is the Lead Manager (BRLM). They are responsible for managing the SME issue process and distribution. |
Registrar | Purva Sharegistry (India) Private Limited is the Registrar to the Issue. |
Bid/Issue Dates | Issue open date: September 23, 2026. Issue close date: September 25, 2026. No anchor investor date (SME IPOs are not eligible for anchor allocation on NSE Emerge). |
The pure Fresh Issue structure means the entire proceeds of this IPO flow to the Company for growth and technology investment. The pre-issue promoter and promoter group holding of 93.04% is very high, reflecting that most of the Company's equity has historically been held by the founding group.
Post-issue, promoter holding will dilute proportionally, but will likely remain well above the minimum 50% threshold for listed entities.
Investors should note this is an SME listing on NSE Emerge, not a mainboard IPO. NSE Emerge-listed shares tend to have lower secondary market liquidity than mainboard stocks, and the mandatory market maker provides the primary source of liquidity in the early post-listing period.
The SME platform has different minimum application size requirements, and the regulatory disclosure requirements are somewhat different from mainboard norms. Investors unfamiliar with SME IPOs should factor the liquidity characteristics of SME exchange listings into their investment assessment.
USE OF PROCEEDS
The net proceeds from the Fresh Issue are proposed to be deployed for the following purposes. There is no Offer for Sale component, so the full proceeds flow to the Company.
Object of Issue | Amount (Rs. Lakhs) | Details and Rationale |
Upgrading IT Infrastructure (Ctrl F Platform v3.0 on AWS) | 1,175.79 | This is the largest single deployment object, accounting for approximately 65% of the quantified proceeds. The Company's flagship RegTech product, Ctrl F, is a cloud-based statutory labour law compliance management platform. The current version is being upgraded to version 3.0 on Amazon Web Services (AWS) infrastructure. The upgrade is intended to improve scalability, security, and feature depth, and to enable the Company to expand its Ctrl F subscription base beyond the current 0.71% revenue contribution. If successful, the v3.0 upgrade could transform Ctrl F from a value-added service feature into a standalone revenue-generating RegTech SaaS product with superior margins compared to the staffing and vendor management businesses. |
Augmenting Leadership Team (Senior and Mid-Level Hiring) | 575.00 | Rs. 575 Lakhs will be deployed toward hiring senior and mid-level management professionals to strengthen the Company's leadership bandwidth. The Company employs 12,027 persons including Deputees, and as the staffing and vendor management operations scale further, dedicated leadership capacity is required for national expansion, client management, technology roadmap execution, and compliance oversight. This is an investment in human capital rather than physical or technology assets. |
Enhancing Brand Visibility and Awareness | 50.00 | Rs. 50 Lakhs will be deployed toward marketing, brand visibility, and awareness initiatives to strengthen the Coreintegra and Ctrl F brand in the HR services and compliance-tech markets. This is a modest allocation relative to the other objects. |
General Corporate Purposes | Balance (up to 15% of gross proceeds or Rs. 1,000 Lakhs, whichever is lower) | The residual balance, subject to the lower of 15% of gross proceeds or Rs. 1,000 Lakhs as per SEBI SME regulations, will be applied toward working capital, administrative expenses, regulatory costs, and other unspecified operational requirements. |
The deployment of 65% of quantified proceeds toward the Ctrl F platform upgrade is a strategic signal about where the Company sees its future growth and margin improvement opportunity. Ctrl F's RegTech positioning is currently the most differentiated part of the Coreintegra business model, but it contributes only 0.71% of revenues.
The IPO proceeds are therefore being used to accelerate the commercialisation of this platform, which, if scaled, could provide subscription-based recurring revenues at much higher margins than the labour-intensive staffing business. This technology investment carries execution risk, as there is no guarantee of uptake, but the strategic logic is sound.
The leadership team augmentation allocation of Rs. 575 Lakhs reflects the Company's recognition that its current management bandwidth may be a limiting factor in scaling the business beyond current levels. Staff costs are already the dominant expense item (Rs. 32,424.63 Lakhs in FY2026, or approximately 63% of revenue), so the marginal cost of leadership layer additions is meaningful.
However, investing in senior talent is a necessary precondition for executing the growth plan across multiple verticals simultaneously.
FINANCIAL PERFORMANCE (CONSOLIDATED)
Revenue and Profitability
Metric | FY2024 | FY2025 | FY2026 | Trend |
Revenue from Operations (Rs. Lakhs) | 36,637.31 | 40,260.87 | 51,514.78 | Strong Growth |
Revenue Growth (YoY %) |
| 9.9% | 27.9% | Accelerating |
EBITDA (Rs. Lakhs) | 581.29 | 420.34 | 601.34 | Volatile |
EBITDA Margin (%) | 1.59% | 1.04% | 1.17% | Thin |
PAT (Rs. Lakhs) | 493.60 | 346.06 | 451.13 | Recovering |
PAT Margin (%) | 1.34% | 0.86% | 0.87% | Thin |
Basic EPS (Rs.) | 6.44 | 4.51 | 5.88 | Recovering |
Net Worth (Rs. Lakhs) | 1,943.31 | 2,289.37 | 2,740.50 | Growing |
NAV per Share (Rs.) | Not stated | Not stated | 35.74 | FY2026 only |
RoNW / ROE (%) | 29.09% | 16.35% | 17.94% | Recovering |
RoCE (%) | 32.37% | 18.68% | 20.19% | Recovering |
Revenue from operations grew strongly from Rs. 36,637.31 Lakhs in FY2024 to Rs. 51,514.78 Lakhs in FY2026, with growth accelerating to 27.9% in FY2026.
This growth is impressive in absolute terms given the scale of revenues. However, the profitability profile is characteristic of the staffing industry: EBITDA margins are structurally thin, ranging from 1.04% to 1.59% over the three-year period, which is consistent with the 1 to 2% industry norm for labour-intensive HR services businesses.
PAT declined from Rs. 493.60 Lakhs in FY2024 to Rs. 346.06 Lakhs in FY2025 before recovering to Rs. 451.13 Lakhs in FY2026. The FY2026 PAT is still below the FY2024 level despite revenues being 40.6% higher, which highlights the margin compression and cost escalation challenges.
Return ratios declined sharply between FY2024 and FY2025 (ROE from 29.09% to 16.35%, RoCE from 32.37% to 18.68%) before partially recovering in FY2026. The recovery in FY2026 is encouraging but does not fully restore the FY2024 levels. EPS also recovered from Rs. 4.51 in FY2025 to Rs. 5.88 in FY2026 but remains below the FY2024 level of Rs. 6.44.
These trends reflect a business that is growing revenues rapidly but facing headwinds on profitability from employee cost inflation, compliance cost escalation, and the ramp-up costs of the renewable and technology businesses.
Balance Sheet and Cash Flow
Metric | FY2024 | FY2025 | FY2026 |
Total Assets (Rs. Lakhs) | 4,995.80 | 5,680.15 | 6,850.67 |
Net Worth (Rs. Lakhs) | 1,943.31 | 2,289.37 | 2,740.50 |
Capital Employed (Rs. Lakhs) | 2,101.52 | 2,391.78 | 2,970.96 |
Trade Receivables (Rs. Lakhs) | 1,877.47 | 2,301.22 | 2,741.95 |
Cash and Bank Balances (Rs. Lakhs) | 1,620.44 | 2,033.61 | 1,107.95 |
Net Working Capital (Rs. Lakhs) | 763.07 | 1,261.36 | 519.28 |
Working Capital Days | 8 | 9 | 6 |
Net Cash from Operations (Rs. Lakhs) | 754.63 | 138.97 | (305.37) |
Contingent Liabilities (Rs. Lakhs) | 22.61 | 62.73 | 22.61 |
The balance sheet is lean for a business of this revenue scale, reflecting the asset-light nature of HR staffing and vendor management operations. Total assets grew from Rs. 4,995.80 Lakhs to Rs. 6,850.67 Lakhs over three years, while Net Worth grew from Rs. 1,943.31 Lakhs to Rs. 2,740.50 Lakhs, driven by retained earnings accumulation.
Trade Receivables grew from Rs. 1,877.47 Lakhs to Rs. 2,741.95 Lakhs, broadly in line with revenue growth, keeping working capital days low at 6 days in FY2026 versus 8 days in FY2024. This is a very efficient working capital cycle for a services business.
A notable concern is the sharp decline in Cash and Bank Balances from Rs. 2,033.61 Lakhs in FY2025 to Rs. 1,107.95 Lakhs in FY2026. Net cash from operations turned negative at Rs. (305.37) Lakhs in FY2026, compared to a positive Rs. 138.97 Lakhs in FY2025 and Rs. 754.63 Lakhs in FY2024.
The FY2026 negative operating cash flow, despite EBITDA improving, was driven by an increase in trade receivables and a reduction in trade payables. The cash balance decline warrants monitoring; if operating cash flows remain negative post-IPO, the Company may need to draw on the General Corporate Purposes allocation sooner than planned.
PEER COMPARISON
Company | Revenue FY2026 (Rs. Lakhs) | PAT (Rs. Lakhs) | PAT Margin (%) | P/E (x) |
Coreintegra Consulting Services Ltd (Issuer) | 51,514.78 | 451.13 | 0.87% | N/A (Pre-listing) |
Team Lease Services Limited | 11,79,067 | 14,138 | 1.19% | 14.74x |
Quess Corp Limited | 15,32,168 | 22,220 | 1.45% | 23.06x |
Peer data is sourced from the Basis for Offer Price section of the RHP. The listed peers identified are significantly larger in revenue scale: Team Lease is 22.9 times larger than Coreintegra by revenue, and Quess Corp is 29.7 times larger.
Despite this scale difference, all three companies operate in the same low-margin HR staffing and services sector, and their PAT margins are broadly comparable at the 0.87% to 1.45% level. Coreintegra's PAT margin of 0.87% is at the lower end of this range.
The industry P/E range is 14.74x (Team Lease) to 23.06x (Quess Corp), with an average of approximately 18.90x. These multiples are applied to a thin earnings base, so the absolute implied valuations must be read in context.
A key distinction of Coreintegra versus its listed peers is its proprietary technology platform suite (CoreX, Core Pay, Ctrl F, Core PFT). Team Lease and Quess Corp are both large-scale staffing businesses without a comparable compliance-tech platform offering. This technology differentiation is the basis for Coreintegra's premium positioning narrative, but it is not yet reflected in financial metrics: Ctrl F contributes only 0.71% of FY2026 revenues.
The investment thesis for Coreintegra, therefore, involves a technology monetisation optionality that is not yet in the numbers. Investors need to weigh whether the EBITDA and PAT growth from the core staffing and vendor management business justifies the valuation at which the IPO is priced, with the technology upside treated as an option rather than a certainty.
KEY RISKS
Extreme Customer Concentration. The single largest customer contributed 53.01% of FY2026 revenues (Rs. 27,310.06 Lakhs). The top five customers together accounted for 89.31% of total revenue. This level of concentration means the financial viability of the Company is effectively dependent on a handful of relationships. There are no long-term supply agreements or committed volume contracts with these clients; they engage on project or service agreement terms that can be reduced or terminated. Loss of even one top-three client would have a material and potentially existential impact on the business at its current scale.
Thin Profit Margins with Limited Downside Buffer. PAT margin has declined from 1.34% in FY2024 to 0.87% in FY2026. EBITDA margins remain below 1.2%. At these margin levels, even a modest increase in employee costs, statutory compliance obligations, technology platform maintenance costs, or competitive pricing pressure would entirely eliminate profitability. The Company has essentially no margin buffer to absorb adverse operating conditions. Any revenue shortfall arising from client concentration (noted above) would therefore hit the bottom line immediately and severely.
Outstanding Legal Proceedings Against Promoters. Tax-related legal proceedings against the promoters aggregate to approximately Rs. 957.87 Lakhs. An adverse outcome in these proceedings could affect the financial position of the promoters and potentially the Company itself. For a business with Net Worth of only Rs. 2,740.50 Lakhs, a Rs. 957.87 Lakh adverse judgment represents approximately 35% of Net Worth, a material exposure.
Negative Operating Cash Flow in FY2026. Net cash from operations was negative at Rs. (305.37) Lakhs in FY2026, compared to positive figures in both FY2024 and FY2025. Cash and bank balances declined from Rs. 2,033.61 Lakhs to Rs. 1,107.95 Lakhs in FY2026. The negative operating cash flow reflects the working capital consumption associated with the high revenue growth, but it is nonetheless a concern for a business with thin margins that depends on cash generation to fund technology investments and operational costs.
High Deputee Attrition Rate. Attrition among Deputees (on-site staffing employees deployed at client locations) was 54% in FY2026, up from 42% in both FY2024 and FY2025. Managing continuous replacement and onboarding at this scale increases operational costs and can temporarily impair service quality during transition periods. High attrition also reflects the transactional nature of blue-collar and grey-collar staffing, where employees may leave for marginally higher wages or better conditions at competing employers.
History of Statutory Compliance Delays. The Company has a history of delays in depositing statutory dues including Employee Provident Fund (EPF), Labour Welfare Fund (LWF), and Profession Tax across multiple years and states. This is a notable irony for a company that sells compliance management services to clients through its Ctrl F platform. While the Company may have since regularised these obligations, the historical pattern raises questions about the stringency of internal compliance processes.
Technology Platform and Cybersecurity Risk. Revenue generation and client retention depend heavily on the uptime, security, and accuracy of CoreX, Core Pay, Ctrl F, and Core PFT platforms. Any data breach, extended downtime, software malfunction, or cybersecurity incident could damage client trust, expose the Company to liability, and impair the credibility of Ctrl F as a compliance platform. The migration to AWS v3.0 introduces additional transition risk during the implementation period.
Short-Term and Easily Terminable Contracts. Client contracts are predominantly short-term and contain termination-at-convenience provisions that allow clients to reduce Deputee headcount or terminate service agreements at short notice. There is no guaranteed revenue visibility beyond current contract periods. In the staffing industry, this is standard but means revenue forecasting involves meaningful uncertainty.
KEY POSITIVES
Proprietary Technology Platform Suite Differentiating from Commodity Staffing. Coreintegra operates CoreX (HRMS), Core Pay (payroll processing), Ctrl F (compliance management), and Core PFT, none of which are off-the-shelf products. This technology layer creates service stickiness with clients, reduces direct comparability with pure-play staffing companies, and provides the foundation for a potential transition toward higher-margin technology-led revenues.
According to a Ken Research report cited in the RHP, Ctrl F has a near-duopoly positioning in the compliance-tech segment, which is a significant competitive moat if the platform can be commercially scaled.
Strong Revenue Growth of 27.9% in FY2026. Revenue from operations grew from Rs. 40,260.87 Lakhs in FY2025 to Rs. 51,514.78 Lakhs in FY2026, a 27.9% year-on-year increase. This growth rate is exceptional for a Rs. 500 Crore-plus revenue business and reflects strong order inflows and execution capability across both the HR Services and Vendor Management verticals. The three-year CAGR is approximately 18.6%.
High Client Retention Rate of 90.46%. Despite operating in the competitive HR services market, the Company achieved a client retention rate of 90.46% in FY2026. This high retention rate indicates that clients find value in the Coreintegra service bundle and are not easily switching to alternatives. For a staffing business, client retention is more commercially meaningful than new client acquisition, and a 90%+ retention rate is strong.
]Asset-Light Business Model with Efficient Working Capital Management. The HR staffing and vendor management business is fundamentally asset-light: the Company does not require heavy capital expenditure on physical infrastructure. Total Assets of Rs. 6,850.67 Lakhs support revenues of Rs. 51,514.78 Lakhs, an asset turnover of approximately 7.5 times. Working capital days are very efficient at 6 days in FY2026, reflecting disciplined receivables management even as revenues grew rapidly.
Growing Indian HR-Tech Market Providing a Structural Tailwind. The Indian HR-Tech market grew at a CAGR of 14.1% from FY2020 to FY2025, reaching approximately Rs. 9,500 Crores. It is projected to grow to Rs. 15,800 Crores by FY2030 at a CAGR of 10.7%. As enterprises increasingly adopt technology-driven HR management and statutory compliance tools, demand for integrated platforms like Ctrl F and CoreX should grow, providing a favourable demand environment for the Company's technology investments.
Revenue per Employee Improving. Revenue per employee (including Deputees) grew from Rs. 4,07,818 in FY2024 to Rs. 4,84,769 in FY2026, an increase of approximately 18.9% over two years. Improving revenue productivity per employee is a positive signal about service mix improvement and operational efficiency, particularly given the high attrition environment for Deputees.
Recovering Return Ratios with Positive Trajectory. After the sharp decline in FY2025, ROE improved from 16.35% to 17.94% and RoCE improved from 18.68% to 20.19% in FY2026. While these levels are below the FY2024 peaks (29.09% ROE and 32.37% RoCE), the direction of travel is positive. Continued revenue growth without proportional equity dilution, combined with improved margin management, could restore return ratios toward their FY2024 levels over the medium term.
