ArMee Infotech IPO (23 Sep-25 Sep) Analysis
Updated: Oct 4
IT Infrastructure, Managed Services and Renewable Energy EPC | Mainboard IPO | BSE and NSE
Based on the Red Herring Prospectus (RHP) filed by Armee Infotech Limited, September 2026
STATUS: OPEN FOR SUBSCRIPTION | Anchor Date: September 22, 2026 | IPO Dates: September 23 to September 25, 2026
ArMee Infotech Limited is an IT infrastructure and IT managed services company headquartered in Ahmedabad, Gujarat. It was incorporated in 2011 (CIN: U72100GJ2011PLC063953) but has been operating in the technology services space since 2003, giving it over two decades of operational history.
The Company primarily serves Government and public sector undertaking (PSU) clients, with a presence across 14 states in India. Its registered office is in Ahmedabad, and its operations span both the technology services and renewable energy sectors.
The Company operates across three business verticals. The first and largest is IT Infrastructure, which involves procurement, supply, and deployment of hardware, networking, and computing equipment to Government entities.
This segment includes servers, storage devices, laptops, printers, and associated networking infrastructure required for Government digital initiatives. The second vertical is IT Managed Services, which covers ongoing maintenance, technical support, and operational management of installed IT systems under long-term service agreements.
This segment provides recurring, annuity-type revenues on installed IT infrastructure.
The third and fastest-growing vertical is Renewable Energy, where the Company executes EPC (Engineering, Procurement, and Construction) contracts for solar and other renewable energy projects, manages Power Purchase Agreements (PPA), and deploys Battery Energy Storage Solutions (BESS).
The Company also operates Experience Zones, which are consumer electronics showrooms and retail formats providing an additional, smaller revenue stream. As of FY2026, IT Infrastructure contributed approximately 85.81% of total revenues (Rs. 1,19,848.88 Lakhs), IT Managed Services contributed 5.26% (Rs. 7,344.13 Lakhs), and Renewable Energy EPC contributed 8.93% (Rs. 12,469.60 Lakhs).
The promoters of the Company are Ami Ridhish Patel (holding 76.19%), Kiritkumar Chimanbhai Patel (10.62%), and Ridhish Kiritbhai Patel (5.91%). The aggregate pre-issue promoter holding is 92.72%.
As of June 30, 2026, the Company holds an unexecuted order book of Rs. 2,66,344.35 Lakhs, of which approximately 88.38% relates to renewable energy projects. This large order book provides strong forward revenue visibility for the next several years.
IPO BASICS
Document Type | The offer is based on a Red Herring Prospectus (RHP) filed by the Company in September 2026. This is a mainboard IPO listed on both BSE and NSE, making the issue accessible to Qualified Institutional Buyers (QIBs), Non-Institutional Investors (NIIs), and Retail Individual Investors (RIIs). |
Issue Structure | This is a pure Fresh Issue with no Offer for Sale component. The entire issue size of up to Rs. 30,000 Lakhs represents new equity capital, with all proceeds flowing to the Company for its stated deployment objectives. There is no element of promoter monetisation in this IPO. |
Issue Size | Up to Rs. 30,000 Lakhs (fresh capital). The number of shares to be issued will be determined by the final issue price discovered through the book-building process. |
Face Value | Rs. 10 per equity share. The face value is the nominal base for per-share computations including EPS as stated in the RHP. |
Promoters and Holding | The promoters are Ami Ridhish Patel (pre-issue holding: 76.19%), Kiritkumar Chimanbhai Patel (10.62%), and Ridhish Kiritbhai Patel (5.91%). The aggregate pre-issue promoter holding is 92.72%, one of the highest among recent mainboard IPOs. Post-issue, promoter holding will dilute proportionately based on the size of the fresh issue relative to the final total share capital. |
Listing Exchange | BSE Limited and National Stock Exchange of India Limited (NSE). Dual listing ensures broad market access and adequate post-listing trading liquidity. |
BRLMs | Two Book Running Lead Managers are managing this issue: Khandwala Securities Limited and Saffron Capital Advisors Private Limited. Both are SEBI-registered merchant bankers. The appointment of two BRLMs reflects the complexity and size of this issue. |
Registrar | Cameo Corporate Services Limited is the Registrar to the Issue, responsible for application management, allotment processing, and refund administration. |
Bid/Issue Dates | Anchor Investor Bidding Date: September 22, 2026. Public subscription opens September 23, 2026 and closes September 25, 2026 (three working days). |
This IPO is structured as a pure Fresh Issue with no Offer for Sale component whatsoever. This is an unambiguously investor-friendly structure: every rupee invested in this IPO goes directly to the Company rather than to any existing shareholder.
The absence of an OFS component also signals that the promoters are not seeking to partially exit at this stage, which is a positive signal regarding their confidence in the Company's growth trajectory.
The pre-issue promoter holding of 92.72% is very high, meaning the post-issue promoter stake will still be substantial even after the dilution from the Fresh Issue.
The dual BRLM structure with Khandwala Securities and Saffron Capital Advisors indicates that the Company has appointed two institutions to manage book building and distribution.
The issue size of Rs. 30,000 Lakhs positions this as a meaningful mid-market mainboard IPO. Cameo Corporate Services is a well-established registrar with significant experience managing public issues across India.
USE OF PROCEEDS
The net proceeds from the Fresh Issue are proposed to be deployed for the following objects. There is no Offer for Sale component, so all IPO proceeds flow to the Company.
Object of Issue | Amount (Rs. Lakhs) | Details and Rationale |
Securing Performance Bank Guarantees for Business Expansion | 15,500.00 | This is the single largest allocation in the deployment plan, accounting for approximately 51.7% of the total identified proceeds. Performance Bank Guarantees (PBGs) are mandatory security deposits required by Government agencies and renewable energy project developers before awarding large contracts. The Company's strategy is to pursue larger-value Government IT contracts and renewable energy EPC tenders that require PBG support. Without adequate PBG capacity, the Company cannot bid for or win these contracts. This allocation is therefore not a cash expenditure in the traditional sense; it is the deployment of capital as collateral to unlock a larger revenue-generating order pipeline. Of the Rs. 15,500 Lakhs, Rs. 9,000 Lakhs is intended for FY2027 and Rs. 6,500 Lakhs for FY2028. |
Working Capital Requirements | 6,000.00 | Working capital of Rs. 6,000 Lakhs will be deployed in FY2027 to fund the execution of the growing renewable energy order book and the Company's expanding IT project pipeline. Government and PSU contracts typically have extended payment cycles, and renewable energy EPC projects involve significant upfront procurement of equipment and materials before milestone payments are received. The working capital requirement has grown in line with the size of the order book, which stands at Rs. 2,66,344.35 Lakhs as of June 30, 2026. |
Prepayment of Borrowings | 650.00 | Rs. 650 Lakhs will be used to prepay a portion of existing outstanding borrowings. This debt reduction will lower the interest burden and improve net profitability margins to a modest extent. The Debt-to-Equity ratio rose from 0.29x in FY2024 to 0.96x in FY2026, partly driven by increased working capital borrowings. This allocation provides partial balance sheet relief. |
General Corporate Purposes | Balance (up to 25% of gross proceeds) | The remaining balance, subject to SEBI's 25% cap on general corporate purposes, will be applied toward incremental operational expenses, administrative costs, strategic investments, and other unspecified business requirements as they arise during the deployment period. |
The deployment profile is unusual compared to most manufacturing-sector IPOs: the largest single allocation is toward Performance Bank Guarantees rather than capital expenditure or technology investments.
This reflects the fundamental nature of ArMee Infotech's business model in Government IT infrastructure procurement, where the constraint on revenue growth is not production capacity but the ability to provide upfront security deposits to Government tender authorities.
The Company is essentially using its IPO proceeds to enhance its bidding capacity for larger contracts rather than to build physical assets.
The working capital allocation of Rs. 6,000 Lakhs is driven by the renewable energy order book, which stands at Rs. 2,35,430 Lakhs out of the total Rs. 2,66,344 Lakhs unexecuted book. Renewable energy EPC projects have longer execution cycles and more complex cash flow timelines than IT hardware procurement, so the demand for working capital in this segment is higher.
Together, the PBG allocation and working capital allocation support the Company's dual-track growth strategy of maintaining its IT infrastructure Government business while scaling up its renewable energy EPC capabilities.

Net Worth (Rs. Lakhs) | 9,517.62 | 13,666.73 | 18,218.20 | Growing |
NAV per Share (Rs.) | 40.11 | 57.59 | 76.77 | Growing |
RoNW / ROE (%) | 70.67% | 35.94% | 28.52% | Declining |
RoCE (%) | 57.55% | 32.43% | 24.10% | Declining |
ArMee Infotech reported strong top-line growth, with revenues rising from Rs. 1,02,057.47 Lakhs in FY2024 to Rs. 1,39,662.61 Lakhs in FY2026, a CAGR of 16.98%. Revenue growth was particularly strong in FY2025 (up 28.7% year-on-year) before moderating to 6.3% in FY2026. The Company is now a large-scale enterprise by SME standards, with consolidated revenues exceeding Rs. 1.4 Lakh Crore equivalent annually.
However, profitability has not kept pace with revenue growth. EBITDA margin compressed from 7.01% in FY2024 to 5.42% in FY2026, and PAT margin is thin at 3.26% in FY2026, reflecting the low-margin nature of Government IT hardware procurement and the cost-intensive ramp-up of the renewable energy business.
Return ratios have declined significantly: RoCE fell from 57.55% in FY2024 to 24.10% in FY2026, and ROE declined from 70.67% to 28.52% over the same period. These declines are partly explained by the rapid growth in the equity base (Net Worth nearly doubled from Rs. 9,517 Lakhs to Rs. 18,218 Lakhs), which outpaced earnings growth.
The PAT of Rs. 4,546.65 Lakhs in FY2026 is slightly below the Rs. 5,013 Lakhs earned in FY2024, despite revenues being 37% higher, pointing to meaningful margin compression and rising operating costs.
Balance Sheet and Cash Flow
Metric | FY2024 | FY2025 | FY2026 |
Net Worth (Rs. Lakhs) | 9,517.62 | 13,666.73 | 18,218.20 |
Total Borrowings (est., Rs. Lakhs) | 2,760.1 | 4,783.4 | 17,489.5 |
Debt to Equity Ratio (x) | 0.29 | 0.35 | 0.96 |
Net Cash from Operating Activities (Rs. Lakhs) | 5,518.60 | (1,798.14) | 1,247.58 |
The balance sheet shows a concerning trend in leverage. Total borrowings have risen sharply, with the Debt-to-Equity ratio moving from 0.29x in FY2024 to 0.96x in FY2026. This increase is driven by the Company's growing requirement for Performance Bank Guarantees to bid on large Government contracts, as well as working capital financing for renewable energy EPC projects.
While the current ratio has not been disclosed in the v1 source, the sharp rise in borrowings is a key financial risk. Operating cash flows turned negative at Rs. (1,798.14) Lakhs in FY2025, a period of heavy working capital deployment, before recovering to Rs. 1,247.58 Lakhs in FY2026. Post-IPO, the Rs. 650 Lakh debt repayment will provide only marginal relief to the balance sheet, while the PBG and working capital deployments will add further obligations.
PEER COMPARISON
Company | Revenue FY2026 (Rs. Lakhs) | EPS (Rs.) | NAV per Share (Rs.) | P/E (x) |
ArMee Infotech Limited (Issuer) | 1,39,662.61 | 19.16 | 76.77 | N/A (Pre-listing) |
Dynacons Systems and Solutions Limited | 1,42,428.34 | 66.64 | Not stated | 16.41x |
Orient Technologies Limited | 86,954.45 | 1.00 | Not stated | 243.15x |
KPI Green Energy Limited | 2,69,590.99 | 24.13 | Not stated | 12.77x |
Oriana Power Limited (SME Board) | 1,81,367.23 | 124.19 | Not stated | 9.62x |
Peer data is sourced from the Basis for Offer Price section of the RHP. Peer identification for ArMee Infotech is complicated by the fact that the Company operates across both IT infrastructure and renewable energy verticals, meaning no single listed peer is a like-for-like comparable.
Dynacons Systems and Solutions is the closest IT infrastructure peer by revenue scale, but Dynacons commands a meaningfully higher EPS of Rs. 66.64 versus ArMee's Rs. 19.16, suggesting that Dynacons is either a more profitable business or has a smaller equity base. The P/E of 16.41x for Dynacons serves as a reasonable reference for the IT infrastructure business.
Orient Technologies trades at an extremely high P/E of 243.15x, which reflects market pricing for its niche IT services business rather than a comparable benchmark. Among renewable energy peers, KPI Green Energy (12.77x) and Oriana Power (9.62x) trade at lower multiples, reflecting the capital-intensive nature of renewable energy EPC. ArMee's blended business profile makes it difficult to apply a single peer multiple.
A composite blended multiple (weighting IT and renewable energy peers by revenue contribution) would suggest a fair-value range substantially lower than the IT niche premium reflected in Orient Technologies. Investors should use the Dynacons multiple as the primary reference given the 85.81% revenue contribution from IT infrastructure.
KEY RISKS
Revenue Concentration in Top Clients and Three States. The top 5 clients contributed 76.66% of revenues in FY2026, and over 86% of revenues were derived from three states (Gujarat, Maharashtra, and Tamil Nadu).
The combination of heavy client concentration and geographic concentration means that the loss of one or two major Government clients, or an adverse policy change in these three states, could materially and disproportionately impact the Company's financials.
There are no long-term contractual commitments with Government clients, who procure on a tender-by-tender basis.
Heavy Dependence on Government and PSU Spending. Government and PSU clients contributed 83.84% of revenues in FY2026. This dependence creates exposure to Government budget allocations, policy priorities, procurement timelines, and payment cycles.
Government IT and infrastructure spending can be delayed, deferred, or reduced without notice based on budgetary or political factors, and the Company has no mechanism to enforce or accelerate payments beyond contractual terms. The history of negative operating cash flows in FY2025 reflects the impact of such delays.
Rapidly Rising Indebtedness. The Debt-to-Equity ratio increased sharply from 0.29x in FY2024 to 0.96x in FY2026. This deterioration in financial leverage reflects growing working capital borrowings and the funding of Performance Bank Guarantee requirements.
If operating cash flows remain insufficient or the renewable energy order book requires continued working capital support, the Company may need to increase borrowings further post-IPO, which would amplify financial risk and interest costs.
Declining Bid Success Rate. The Company won only 19.48% of submitted bids in FY2026, down from 30.91% in FY2024. A declining win rate in a competitive Government procurement environment raises the risk of the pipeline conversion assumption being overly optimistic.
If the win rate declines further, the Company may be unable to replenish its order book at a sufficient rate to sustain revenue growth, and the large investment in PBGs would deliver lower returns on the deployed capital.
Limited Track Record in Renewable Energy. While the renewable energy segment represents 88.38% of the current unexecuted order book, it constitutes only 8.93% of FY2026 revenues, and the Company's promoters do not have a long track record in renewable energy EPC execution.
Large-scale renewable energy projects require specialised engineering capabilities, supply chain management, and regulatory compliance that may be new to the team. Execution failure or delays in renewable energy projects could damage the Company's credibility in this segment.
Concentrated Supplier Base. Top 3 technology partners account for 65.84% of purchases in FY2026. This level of supplier concentration creates vulnerability if any key partner faces supply chain disruptions, product discontinuation, pricing changes, or relationship issues. The Company's ability to substitute these suppliers without impacting project delivery timelines or margins is untested.
History of Negative Operating Cash Flows. Operating cash flows were negative at Rs. (1,798.14) Lakhs in FY2025, a material reversal from the positive Rs. 5,518.60 Lakhs in FY2024. The recovery to Rs. 1,247.58 Lakhs in FY2026 is encouraging but does not fully restore confidence. The working capital cycle in Government contracts is long and unpredictable, and further elongation in receivable collection could pressure cash flows again.
Procurement and Execution Risks in Renewable Energy EPC. Solar and renewable energy EPC projects are exposed to supplier warranty defaults, material cost overruns (particularly for solar panels and battery storage components whose prices can fluctuate with global supply chains), land acquisition delays, grid connectivity approvals, and weather-related project delays. Margin erosion in the renewable energy segment, if it occurs, would disproportionately impact overall profitability as that segment grows.
KEY POSITIVES
Pure Fresh Issue Structure with Full Proceeds to the Company. This IPO is structured entirely as a Fresh Issue with no Offer for Sale component, meaning the entire Rs. 30,000 Lakhs of IPO proceeds flows directly into the Company's balance sheet.
This structure signals that the promoters are not seeking to monetise their holdings at this stage and that the capital is intended for growth deployment. For investors, it means their capital is being deployed for Company growth rather than providing an exit to existing shareholders.
Large and Visible Order Book Providing Revenue Runway. The unexecuted order book of Rs. 2,66,344.35 Lakhs as of June 30, 2026 is approximately 1.9 times the annual revenue of Rs. 1,39,662.61 Lakhs in FY2026. This book-to-bill ratio provides meaningful revenue visibility for the next 2 to 3 years.
The renewable energy component of the order book, at approximately Rs. 2,35,430 Lakhs, represents a transformative pipeline that could drive a step-change in revenue scale as these projects are executed.
Strong Revenue CAGR of 16.98% Over Two Years. Revenue grew from Rs. 1,02,057.47 Lakhs in FY2024 to Rs. 1,39,662.61 Lakhs in FY2026, a CAGR of 16.98%. This is a high growth rate for a business of this scale, and it demonstrates strong execution capability and a robust order pipeline.
The Company's ability to grow revenues while managing the complexity of both Government IT procurement and renewable energy EPC contracts simultaneously reflects operational depth.
Positioning for the Renewable Energy Transition. With 88.38% of the current order book in renewable energy projects (EPC, PPA, and BESS), ArMee Infotech is well-positioned to benefit from India's ambitious renewable energy targets under the National Solar Mission and related Government programmes.
The renewable energy business, if executed well, represents a high-growth vertical that could potentially transform the Company's revenue profile and improve margins over time as IT infrastructure's relative contribution declines.
Two-Decade Track Record in Government Client Relationships. The Company has been serving Government and PSU clients since 2003, giving it over two decades of experience in navigating the Government procurement process, maintaining empanelment credentials, and delivering large-scale IT infrastructure projects.
These relationships and credentials are difficult to replicate quickly and represent a meaningful barrier to entry for new competitors seeking to serve the same Government client base.
Healthy Return on Equity Despite Equity Base Expansion. ROE of 28.52% in FY2026, despite the significant growth in Net Worth from Rs. 9,517.62 Lakhs to Rs. 18,218.20 Lakhs over three years, reflects the Company's ability to generate acceptable returns on a growing capital base. While ROE has declined from the exceptional levels of FY2024 (70.67%), the current level is still healthy for a Government-services business.
Improved Operating Cash Flows in FY2026. After the negative operating cash flow of Rs. (1,798.14) Lakhs in FY2025, the Company returned to positive territory with Rs. 1,247.58 Lakhs from operations in FY2026.
This recovery suggests that the working capital cycle normalised during FY2026 and that the Company is actively managing receivable collection. Sustained positive operating cash flow generation is essential for the Company to self-fund its working capital needs and reduce dependence on external borrowings.
