The Offer for Sale seller is a Promoter Group entity rather than an individual promoter.

How Will the IPO Money Be Used?

This is a Fresh Offer plus an Offer for Sale. The company receives no proceeds from the Offer for Sale; those proceeds go to Vaman Prestressing Company Private Limited.

Revenue grew 6.33% in FY2026 to Rs.33,867.73 Lakhs, after growth of 31.15% in FY2025, and PAT grew 5.66% to Rs.2,497.50 Lakhs, itself up 6.86 times from Rs.344.56 Lakhs in FY2024. PAT margin jumped from 1.42% in FY2024 to 7.42% in FY2025 and held at 7.37% in FY2026, a step change in profitability rather than a single year outlier. RoNW moved from 9.48% in FY2024 to a peak of 47.63% in FY2025, then eased to 33.87% in FY2026 as the equity base expanded following the September 2025 bonus issue.

Dependence on government and government related revenue in the PSC sleeper manufacturing segment eased from 58.09% in FY2024 to 42.61% in FY2026, a genuine reduction in reliance on Indian Railways and DFCCIL budgetary allocations.

Operating cash flow was positive in all three years shown, Rs.2,773.05 Lakhs, Rs.3,820.17 Lakhs and Rs.2,715.47 Lakhs in FY2024, FY2025 and FY2026 respectively. Debt to Equity has fallen every year, from 2.38x in FY2024 to 1.01x in FY2026, a meaningfully deleveraging balance sheet even before this Offer's Rs.1,900.00 Lakhs of further debt repayment. Total contingent liabilities have declined each year, from Rs.2,617.46 Lakhs to Rs.2,186.64 Lakhs, comprising mainly bank guarantees issued to secure project contracts.

How Does It Compare to Peers?

The RHP names two listed peers: GPT Infraprojects Limited and Indian Hume Pipe Company Limited, based on closing NSE prices as of July 23, 2026, and itself notes the peers may not be exactly comparable in size or business portfolio. Vishal Nirmiti's own P/E cannot be shown until the Price Band is set.

Vishal Nirmiti's RoNW of 33.87% is well ahead of both named peers, neither of which exceeds 19%, and its NAV per share of Rs.43.61 is close to GPT Infraprojects' Rs.41.77 but far below Indian Hume Pipe Company's Rs.281.76. Both peers are considerably larger by revenue, at Rs.1,28,991.69 Lakhs and Rs.1,30,556.83 Lakhs against Vishal Nirmiti's Rs.33,867.73 Lakhs.

Key Risks

• Revenue from the PSC sleeper manufacturing segment remains substantially dependent on Indian Railways, DFCCIL and other government owned entities, 42.61% of FY2026 revenue in that segment, exposing the business to central and state government budgetary and policy decisions beyond its control.

• PAT margin was just 1.42% in FY2024 before jumping to 7.42% in FY2025 and holding at 7.37% in FY2026; investors should understand what drove this step change in profitability, as the RHP does not attribute it to a single clearly identified factor in the summary financial information.

• Per share metrics in this RHP are retrospectively adjusted for a face value split and a 10 for 1 bonus issue that both occurred within roughly seven months of this RHP, so investors should read pre adjustment figures with that recent capital restructuring in mind.

• The Offer for Sale seller, Vaman Prestressing Company Private Limited, is a Promoter Group entity exiting at a weighted average cost of Rs.31.82 per share; investors should weigh what this Promoter Group exit signals distinct from the individual promoters' own continued holding.

• Total borrowings remain substantial at Rs.8,741.70 Lakhs even after this Offer repays a further Rs.1,900.00 Lakhs, and Debt to Equity, while improving, was still 1.01x in FY2026.

• Industry data in this RHP comes from a Dun and Bradstreet report commissioned and paid for by the company itself.

• Both named listed peers are considerably larger by revenue, roughly 3.8 to 3.9 times Vishal Nirmiti's own FY2026 revenue, so the RoNW comparison should be read alongside this scale gap.

• The business requires significant working capital funded through a mix of fund based and non fund based banking facilities, including bank guarantees as bid security, meaning continued access to bank credit lines is important to securing new contracts.

• This report could not identify the Book Running Lead Manager or Registrar from the extracted text; investors should confirm these directly from the final RHP.

• The nine member promoter and promoter group structure, spanning multiple family members across generations, could complicate governance and succession relative to a business with a smaller promoter group.

• RoNW eased from a peak of 47.63% in FY2025 to 33.87% in FY2026 as the equity base expanded following the bonus issue, a trend worth watching if it continues.

Positives to Note

• PAT grew from Rs.344.56 Lakhs in FY2024 to Rs.2,497.50 Lakhs in FY2026, and operating cash flow was positive in all three years shown.

• Debt to Equity fell every year, from 2.38x in FY2024 to 1.01x in FY2026, a meaningfully deleveraging balance sheet ahead of this listing.

• Dependence on government revenue in the PSC sleeper segment eased from 58.09% of segment revenue in FY2024 to 42.61% in FY2026, a genuine diversification trend.

• Total contingent liabilities declined every year shown, from Rs.2,617.46 Lakhs to Rs.2,186.64 Lakhs.

• RoNW of 33.87% in FY2026 is well ahead of both named listed peers, neither of which exceeds 19%.

• Promoter Brij B Tapadiya brings over 45 years of experience in railway sleeper manufacturing and infrastructure, and the company has long standing relationships with Indian Railways and other government customers built over decades of operation.
