The company designs, manufactures, sources and supplies apparel through three channels: its own women's ethnic and fusion wear brand Divena, covering suit sets, kurtas, dresses, tops, tunics, nightwear and lehengas; a men's wear trading business under the name Millennial Men, sourced from external suppliers; and licensed manufacturing for e commerce private labels including Kalini, Corsica, Roadster, Anouk Rustic and others, made strictly to the licensor's design brief on a just in time basis.
It also supplies a quick commerce platform on a sell or return basis. Financial Performance
Revenue, EBITDA, and Profitability
Rs. Lakhs | FY2026 | FY2025 | FY2024 |
Revenue from Operations | 2,458.75 | 2,527.72 | 2,511.89 |
EBITDA | 296.81 | 286.39 | 180.85 |
EBITDA Margin | 12.07% | 11.33% | 7.20% |
Profit After Tax | 190.13 | 177.92 | 99.38 |
PAT Margin | 7.73% | 7.04% | 3.96% |
EPS, Basic and Diluted (Rs.) | 2.82 | 2.64 | 1.47 |
Return on Net Worth | 18.46% | 21.19% | 15.02% |
Return on Capital Employed | 25.88% | 31.60% | 23.91% |
Revenue from Operations declined 2.73% in FY2026 to Rs.2,458.75 Lakhs, the only revenue decline in the three years shown, yet PAT grew 6.86% to Rs.190.13 Lakhs on margin improvement rather than volume growth.
EBITDA margin has risen every year, from 7.20% in FY2024 to 12.07% in FY2026, and PAT margin nearly doubled over the same period, from 3.96% to 7.73%. Both RoNW and RoCE peaked in FY2025 and eased back in FY2026, a pattern worth watching given revenue did not grow that year.
Balance Sheet and Cash Flow
Rs. Lakhs | FY2026 | FY2025 | FY2024 |
Total Assets | 1,701.43 | 1,427.73 | 1,058.99 |
Net Worth | 1,029.83 | 839.70 | 661.78 |
Total Borrowings | 481.95 | 402.93 | 352.80 |
Debt to Equity | 0.47x | 0.48x | 0.53x |
Inventories | 1,210.03 | 1,052.17 | 698.30 |
Net Cash from Operating Activities | (45.81) | (16.31) | 32.17 |
Operating cash flow was negative in both FY2025 and FY2026, at Rs.16.31 Lakhs and Rs.45.81 Lakhs used respectively, reversing the positive Rs.32.17 Lakhs generated in FY2024, driven by inventory growing from Rs.698.30 Lakhs to Rs.1,210.03 Lakhs over the same period, a 73.29% rise against a roughly flat revenue line.
The company reports no contingent liabilities as of the date of the Prospectus. Debt to Equity has improved steadily, from 0.53x in FY2024 to 0.47x in FY2026.
How Does It Compare to Peers?
The Prospectus does not name any listed industry peers or provide an industry P/E comparison for this Issue, unlike the mainboard issues in this series. This appears to reflect the small scale of the business rather than an omission; Section 8 below covers the KPI and valuation disclosures actually made.
Field | Value |
Issue Price to FY2026 EPS | 10.28x, using the Fixed Price of Rs.29 against Basic EPS of Rs.2.82 |
Issue Price to FY2026 NAV | 1.90x, using the Fixed Price of Rs.29 against Net Worth of Rs.1,029.83 Lakhs over 67,50,000 pre issue shares, or Rs.15.26 per share |
These two ratios are computed directly from the RHP's own figures rather than sourced from the document, since no P/E or NAV comparison table was provided. At Rs.29 per share against Rs.2.82 of FY2026 EPS, the Fixed Price implies a P/E of roughly 10.3x, and against a pre issue NAV of about Rs.15.26 per share, the Issue Price is roughly 1.9 times book value.
Key Risks
• Revenue from Operations declined 2.73% in FY2026, the only year of decline shown, and the top customer alone accounted for 37.37% of FY2026 revenue, down from 47.49% in FY2025 but still a large single point of dependence.
• Operating cash flow was negative in both FY2025 and FY2026, Rs.16.31 Lakhs and Rs.45.81 Lakhs used respectively, as inventory grew 73.29% over two years against roughly flat revenue.
• A significant share of revenue comes from licensed manufacturing arrangements where the brand, design and specifications belong to third party e commerce marketplaces; the company holds no independent intellectual property in these labels and depends on the marketplaces continuing to place just in time orders.
• The top 10 raw material suppliers accounted for 87.25% of FY2026 purchases, and the company has no long term supply agreements with any of them, relying instead on purchase order relationships.
• The company and its promoters are party to a small number of pending legal proceedings, including tax matters and other statutory proceedings against the company and a civil case with an unascertainable amount involved against the promoters.
• Business is seasonal, with sales concentrated around festive periods and end of season sales, so quarterly results are not comparable across the year and a weak festive season would disproportionately affect full year performance.
• RoNW and RoCE both peaked in FY2025 and eased in FY2026, a reversal worth watching given the Issue is priced against the FY2026 numbers.
• The company operates from rented premises for its registered office and manufacturing facility; the lease is not owned property, exposing the business to renewal or rent escalation risk.
• Value added processes including dyeing, printing and embroidery, beyond the embroidery machines being purchased from this Issue, remain outsourced to third party processors not disclosed by name.
• No listed peers or industry P/E comparison is provided in this Prospectus, unlike the mainboard issues in this series, limiting the external benchmarks available to judge the Rs.29 Issue Price.
• As an SME Fixed Price Issue, liquidity on listing depends on the Market Maker, whose reservation is 1,84,000 shares, a relatively small share of the 1,03,86,000 shares that will be outstanding after the Issue.
Positives to Note
• PAT grew every year shown, from Rs.99.38 Lakhs in FY2024 to Rs.177.92 Lakhs in FY2025 to Rs.190.13 Lakhs in FY2026, even in the one year revenue declined.
• EBITDA margin nearly doubled from 7.20% in FY2024 to 12.07% in FY2026, and PAT margin rose from 3.96% to 7.73% over the same period.
• Debt to Equity improved every year, from 0.53x in FY2024 to 0.47x in FY2026, and Rs.300.00 Lakhs of this Issue's proceeds will reduce it further.
• The company reports no contingent liabilities as of the date of the Prospectus.
• Sales are diversified across seven online channels, Myntra, Amazon, Flipkart, Ajio, Nykaa Fashion, Tata Cliq and Snapdeal, plus the company's own brand websites, reducing dependence on any single marketplace's platform policies.
• Customer concentration has eased over the period shown: the top 10 customers' combined share fell from 82.82% of revenue in FY2024 to 75.17% in FY2026.
